Terms of Service

Effective: October 15, 2026 · Last updated: October 15, 2026

These Terms are between you and CAFIO LLC, a Utah limited liability company (“Cafio,” “we,” “us”).

‍

1. Agreement

‍

By using cafio.com and any related pages, tools, forms, chat features, and communications (the “Site”), you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site. The Site is for adults 18 and older. To contract for services, you must be 18 or older and authorized to bind any business you represent.

‍

2. How these Terms fit with client agreements

‍

These Terms govern your use of the Site. Paid services are governed by a separate signed agreement with Cafio, such as a Master Services Agreement, proposal, or statement of work (a “Client Agreement”). If a Client Agreement and these Terms conflict on a matter involving services, the Client Agreement controls.

‍

Nothing on the Site is an offer, quote, or contract for services. A client relationship begins only when both parties sign a Client Agreement. Submitting a form, booking a call, or chatting with us does not create one.

‍

3. Information on the Site

‍

Site content is general marketing, design, and technology information. It is not legal, financial, tax, accounting, or other professional advice. Talk to a qualified professional about your specific situation.

‍

We do not guarantee any particular result, including search rankings, traffic, leads, conversions, or revenue. Case studies and examples describe specific engagements and are not predictions of what any other project will achieve. Prices and timelines shown on the Site are estimates until confirmed in a Client Agreement.

‍

We work to keep the Site accurate and current. It may still contain errors or outdated information, and we may change it at any time.

‍

4. Free tools and resources

‍

We may offer calculators, audits, templates, guides, and other tools. You may use them for personal or internal business purposes. Outputs may be automated or AI-assisted, and they can be wrong or incomplete. Check results before you rely on them for a business decision. We may change or retire any tool at any time.

‍

5. Acceptable use

‍

We want the Site to be welcoming and safe for everyone. You agree not to:

  • Break the law or violate anyone’s rights, including privacy and intellectual property rights.
  • Harass, threaten, or discriminate against others, or post hateful or abusive content.
  • Probe, scan, or test the security of the Site, or bypass access controls, without our written permission.
  • Introduce malware, or interfere with the Site’s operation, including through automated traffic that burdens our systems.
  • Scrape or copy the Site at scale, or use it to train a competing product, without written permission.
  • Impersonate any person or organization, or misstate your affiliation.

‍

6. Intellectual property

‍

The Site and its content belong to Cafio or its licensors. That includes text, design, code, graphics, motion work, video, and the Cafio name and logo. They are protected by copyright, trademark, and other laws.

‍

We give you a limited, non-exclusive, revocable license to view the Site and use its content for personal or internal business purposes. You may quote short excerpts with attribution and a link. Any other copying, modification, distribution, or commercial use requires our written permission.

Ownership of work we create for clients, and our right to show it in our portfolio, is set by the applicable Client Agreement. Third-party names, logos, and marks on the Site belong to their owners, and their appearance does not imply endorsement.

‍

7. What you send us

‍

You own what you submit through the Site, including messages, form entries, and feedback. You give us a non-exclusive, worldwide, royalty-free license to use it to respond to you, operate the Site, and improve our services.

‍

You confirm you have the right to send what you submit. Please do not send sensitive personal information, passwords, or payment card numbers through forms or chat. Unless a separate written agreement says otherwise, submissions are handled under our Privacy Policy and are not treated as confidential beyond it.

‍

8. Third-party services and links

‍

The Site links to and embeds services run by others, such as maps, video players, scheduling tools, review widgets, and payment processors. Their terms and privacy practices apply to your use of them. We do not control them and are not responsible for their content or conduct.

‍

9. AI, automation, and recordings

‍

We may use AI chat assistants, automation, and recording or transcription software on the Site and in meetings. Assistants are labeled as such. What they say is general information. It is not a quote, commitment, or advice, and it does not change any Client Agreement. Only a signed Client Agreement or written confirmation from an authorized Cafio team member binds us.

Section 3 of the Privacy Policy explains how we handle recordings and AI tools, including how we tell you when a call or meeting is recorded.

‍

10. Privacy

‍

Our Privacy Policy explains what we collect and how we use it. It is part of these Terms.

‍

11. Communications

‍

If you give us your contact details, you agree that we may contact you about your request. We send marketing texts only with your prior consent, and you can opt out of marketing messages at any time using the instructions in the message or by emailing hello@cafio.com. Service messages, such as updates to these Terms or our Privacy Policy, project and billing notices, and replies to your requests, are not marketing, and we may send them even if you have opted out.

‍

12. Availability and changes

‍

We provide the Site on an as-available basis. We may update, suspend, or discontinue any part of it, including for maintenance, security, or legal reasons.

‍

We may update these Terms. We will post the new version with a new effective date, and for material changes we will give more prominent notice. Continued use of the Site after the effective date means you accept the update. Changes do not apply to disputes that arose before the change.

‍

13. Disclaimers

‍

TO THE FULLEST EXTENT THE LAW ALLOWS, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

‍

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Some places do not allow certain disclaimers, so some of this may not apply to you. In that case, the disclaimer applies to the maximum extent permitted. This section covers the Site only. It does not limit any warranty we give in a Client Agreement.

‍

14. Limitation of liability

‍

TO THE FULLEST EXTENT THE LAW ALLOWS, CAFIO AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE IS LIMITED TO US $50.

‍

This section does not limit liability for fraud, willful misconduct, gross negligence, death or personal injury, or anything else the law does not allow to be limited. Liability for paid services is governed by the Client Agreement, not this section.

‍

15. Indemnity

‍

You will defend and reimburse us for third-party claims, and the resulting losses and reasonable costs, to the extent they arise from your violation of these Terms, your unlawful use of the Site, or a submission that infringes someone’s rights. We will notify you promptly, let you control the defense with counsel reasonably acceptable to us, and cooperate at your expense. You will not settle a claim in a way that admits fault on our behalf without our written consent. This does not apply to claims caused by our own conduct.

‍

16. Copyright and content concerns

‍

If you believe content on the Site infringes your copyright, email hello@cafio.com with the subject “Copyright Notice.” Include a description of the work, where it appears on the Site, your contact details, a statement that you believe in good faith the use is not authorized, a statement that your notice is accurate and that you are the owner or authorized to act for the owner, and your signature. We will review it promptly and act where appropriate.

‍

17. Governing law and disputes

‍

Utah law governs these Terms and any claim about the Site, without regard to conflict-of-law rules. If a dispute arises from services under a Client Agreement, that agreement’s dispute process applies instead of this section.

‍

For claims about the Site, we ask both sides to follow these steps in order:

  1. Talk. Send written notice to hello@cafio.com describing the issue and what you want us to do. We will both try in good faith to resolve it within 30 days.
  2. Mediate. If talking does not work, we will try non-binding mediation with a mutually agreed mediator, in Utah County, Utah, or by video. Each side pays its own costs and splits the mediator’s fee equally.
  3. Court. If mediation does not resolve it, either side may bring the claim in the state or federal courts located in Utah County, Utah, and each side consents to those courts’ jurisdiction and venue.

Either side may use small claims court at any time, and either side may seek urgent court relief at any time to protect intellectual property or confidential information. Time limits for filing a claim are paused while steps 1 and 2 are underway. To the extent the law allows, claims must be brought individually, not as a plaintiff or class member in a class or representative action. Each side pays its own legal fees unless the law or a Client Agreement says otherwise.

‍

18. Suspension and survival

‍

We may block or limit access to the Site, or to a feature such as a form or chat, if you violate these Terms, put the Site or others at risk, or the law requires it. In practice, that means steps like blocking an IP address or disabling a form. We will give notice where practical. Sections on intellectual property, disclaimers, limitation of liability, indemnity, and disputes remain in effect after your access ends.

‍

19. General terms

  • Entire agreement. These Terms, the Privacy Policy, and any applicable Client Agreement are our whole agreement on their subjects.
  • Severability. If a provision is found unenforceable, we will enforce it to the maximum extent allowed, and the rest of the Terms stays in force.
  • No waiver. Not enforcing a provision at one time does not waive it later.
  • Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours as part of a merger, acquisition, or sale of assets.
  • Events beyond our control. Neither side is liable for delays or failures caused by events outside its reasonable control.
  • Notices. We may give notice by posting on the Site or by email. You may give notice at hello@cafio.com.
  • Electronic agreement. You agree these Terms may be accepted and delivered electronically.

20. Accessibility

‍

We work to make the Site usable for everyone. Our Accessibility Statement describes our goals and how to reach us. If you cannot access something on the Site, tell us and we will try to help.
